These Terms and Conditions govern your use of the Penngrove website and your participation in our educational programmes. Please read them carefully before proceeding.

1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Penngrove" / "We" / "Us" / "Our" — refers to Penngrove, registered at No. 41, Jalan Dato Bandar Tunggal, 70000 Seremban, Negeri Sembilan, Malaysia.
- "Website" — refers to the website accessible at penngrove.live.
- "User" / "You" / "Your" — refers to any individual who accesses the Website or enrols in a Programme.
- "Programme" — refers to any educational workshop, toolkit, or course offered by Penngrove.
- "Content" — refers to all text, materials, worksheets, templates, and resources provided by Penngrove.
- "Agreement" — refers to these Terms and Conditions and any related policies incorporated herein.
2. Acceptance of Terms
By accessing the Website, submitting an enquiry, or enrolling in any Programme, you confirm that:
- You have read and understood these Terms and Conditions;
- You are aged 18 years or older, or have the consent of a parent or guardian;
- You have the legal capacity to enter into this Agreement;
- You agree to be bound by these Terms and Conditions in full.
If you do not agree with any part of these terms, you should not use the Website or enrol in our Programmes.
3. Service Description
Penngrove provides general educational programmes on retirement planning concepts and long-range planning terminology. Our services are educational in nature and are not a substitute for professional financial, investment, or legal advice.
We currently offer three programmes:
- Retirement Concepts Workshop — a single-session educational workshop (RM 510)
- Planning Concepts Toolkit — worksheets, templates, and community space (RM 1,640)
- Long-Range Literacy Programme — a multi-week group education programme (RM 4,400)
We reserve the right to modify, suspend, or discontinue any Programme at any time with reasonable notice. Where a Programme has been paid for and is subsequently discontinued before delivery, we will arrange a full refund.
4. User Responsibilities
As a User of our Website and Programmes, you agree to:
- Provide accurate, complete, and current information when submitting forms or enrolling;
- Use the Website and Programme materials for personal, non-commercial educational purposes only;
- Not share, reproduce, redistribute, or resell any Programme Content without our written consent;
- Treat other participants in any group or community component with courtesy and respect;
- Not engage in conduct that disrupts, harms, or misrepresents our services or community.
Prohibited activities include:
- Uploading malicious code or attempting to interfere with Website functionality;
- Impersonating another person or providing false information;
- Using our materials to provide financial, investment, or professional advice to others;
- Any use that violates applicable Malaysian law or regulation.
5. Intellectual Property
All Content on the Website and within our Programmes — including text, design, worksheets, templates, and course materials — is the intellectual property of Penngrove or its licensors, and is protected under applicable Malaysian and international copyright law.
We grant you a limited, non-exclusive, non-transferable, personal licence to access and use Programme materials for your own educational purposes. This licence does not permit you to:
- Copy, reproduce, or distribute materials to third parties;
- Create derivative works based on our Content;
- Use our name, logo, or branding without prior written permission.
Any feedback, suggestions, or ideas you share with us may be used by Penngrove without obligation to compensate you.
6. Payment Terms
- All programme fees are quoted and payable in Malaysian Ringgit (RM).
- Payment is required in full prior to participation in any Programme, unless a written payment arrangement has been agreed.
- We accept payment via the methods communicated at the time of enrolment.
- Refund policy: A full refund is available if you withdraw from a Programme at least 7 calendar days before the scheduled start date. Withdrawals received less than 7 days before the start date are not eligible for a refund, except where Penngrove cancels or significantly changes the Programme.
- We reserve the right to adjust programme pricing. Any price change will not affect confirmed enrolments for which payment has already been received.
7. Programme Terms
The following terms apply specifically to Penngrove educational programmes:
- Enrolment: Enrolment is confirmed upon receipt of full payment and a confirmation email from Penngrove.
- Attendance: We encourage active participation, but attendance in all sessions is not a strict condition for receipt of materials.
- Certificate of Attendance: Where a certificate is offered, it confirms participation in an educational programme. It does not represent professional accreditation, certification, or qualification.
- Community access: Where a community or discussion space is included, access may be revoked if you breach these Terms or our community conduct guidelines.
- Academic integrity: The materials provided are for your personal educational use. Presenting Penngrove materials as your own original work in a professional or academic context is not permitted.
8. Disclaimers
Our programmes and Website are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
- Penngrove makes no representations or warranties as to the accuracy, completeness, or suitability of any Content for any particular purpose.
- All Content is provided for general educational purposes only and does not constitute financial, investment, tax, or legal advice.
- We do not guarantee any specific outcome, financial or otherwise, as a result of participating in any Programme.
- We are not responsible for decisions made by participants based on educational content encountered through our programmes.
If you require professional financial or legal advice, you should consult a duly licensed professional in Malaysia.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Penngrove's total liability to you for any claim arising from use of the Website or participation in a Programme shall not exceed the amount paid by you for the relevant Programme in the 12 months preceding the claim.
We shall not be liable for any indirect, incidental, special, or consequential loss or damage, including loss of income, loss of data, or loss of opportunity, even if we have been advised of the possibility of such loss.
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, to the extent not permitted by Malaysian law.
10. Indemnification
You agree to indemnify and hold harmless Penngrove, its staff, and representatives from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Website or Programmes, your breach of these Terms, or your violation of the rights of any third party.
11. Termination
Either party may terminate participation in a Programme as follows:
- By you: You may withdraw from a Programme subject to the refund policy in Section 6.
- By Penngrove: We may suspend or terminate your access to a Programme or community space if you breach these Terms. In such cases, any refund entitlement will be assessed on a case-by-case basis.
Upon termination, you must cease all use of Content provided as part of the Programme. Sections 5, 8, 9, 10, and 12 of these Terms survive termination.
12. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or your use of our services shall be subject to the jurisdiction of the courts of Negeri Sembilan, Malaysia.
Before commencing any formal proceedings, we encourage both parties to seek resolution through good-faith discussion. Please contact us at [email protected] in the first instance.
Where direct resolution is not reached, the parties may agree to mediation through an accredited Malaysian mediation service before resorting to court proceedings.
13. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Penngrove regarding use of our Website and Programmes.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms. Penngrove may assign its rights in connection with a business transfer or reorganisation.
- Notices: Notices to Penngrove should be sent to [email protected]. We may notify you by email at the address you have provided.
14. Changes to Terms
We may update these Terms and Conditions from time to time. When we make material changes, we will update the "Last Updated" date above and, where reasonable, notify enrolled participants by email. Continued use of the Website or Programmes after the effective date of changes constitutes your acceptance of the revised Terms.
